Terms of Service
Effective Date: August 27, 2026 · Governing Law: Islamic Republic of Pakistan
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Diorta (“the Company,” “we,” “us,” or “our”) governing your access to and use of all websites, platforms, applications, and digital services operated by Diorta, including all current and future products (collectively, “Services”). By accessing or using any Service, you acknowledge that you have read, understood, and irrevocably agree to be bound by these Terms.
1. Eligibility & Age Requirements
To use our Services, you must satisfy all of the following conditions:
- You must be at least 13 years of age to access or use any Diorta Service.
- You must be at least 18 years of age, or possess documented verifiable parental or guardian consent, to make any purchase, subscribe to any paid plan, or enter into any financial transaction with Diorta.
- You have the full legal capacity to form a binding contract under the laws of your jurisdiction and the laws of Pakistan.
- You are not located in a territory subject to applicable trade embargoes or sanctions that would prohibit your use of the Services.
If you do not meet these requirements, you must immediately cease all use of our Services.
2. Account Registration & Security
- You must provide accurate, current, and complete information during registration and maintain its accuracy at all times.
- You are solely and entirely responsible for maintaining the confidentiality and security of your account credentials (email, password, API keys).
- You must immediately notify us via our Contact Form of any suspected or confirmed unauthorized access to your account.
- You may not create multiple accounts, share your account credentials with third parties, or transfer your account to any other person.
- Diorta reserves the right to suspend, restrict, or permanently terminate any account at its sole and absolute discretion, with or without notice.
3. Acceptable Use & Prohibited Conduct
You agree that you will not, under any circumstances, use any Diorta Service to:
- Create, publish, or distribute content that promotes violence, terrorism, hatred, discrimination, exploitation, or any activity that is unlawful under the laws of Pakistan or your jurisdiction.
- Upload, process, or create designs depicting identifiable individuals without their explicit, informed, and documented consent.
- Create or distribute misleading, deceptive, defamatory, or fraudulent content for any purpose.
- Infringe on any third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets.
- Reverse-engineer, decompile, disassemble, or attempt to extract any underlying source code, proprietary algorithms, or other confidential technical materials.
- Scrape, crawl, or use automated tools (including bots, scripts, and scrapers) to access any part of the Services without Diorta's prior written authorization.
- Attempt to circumvent, disable, or interfere with any security, authentication, rate-limiting, or access control mechanism of the Services.
- Attempt to defraud Diorta's payment system, including by filing unauthorized chargebacks, using stolen payment methods, or exploiting billing vulnerabilities. Any such activity will result in immediate permanent termination of all accounts and potential legal action.
- Resell, sublicense, or commercially redistribute any Service or created output without explicit prior written authorization from Diorta.
Violations of this section will result in immediate and permanent termination of your account across all Diorta products without warning and without any refund of any kind.
4. Subscription, Billing & Payment
- Access to premium features of our Services requires a paid subscription or credit purchase at the applicable rates displayed on our pricing page.
- By subscribing, you authorize Diorta or our payment processor to charge your designated payment method at the applicable recurring rate.
- Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date through your account settings.
- All payments processed through our Services are handled securely by our authorized third-party Merchant of Record. Diorta does not store, handle, or have access to your raw credit card or banking details at any time.
- Diorta reserves the right to modify pricing or plan structures at any time with a minimum of 30 days' written notice to existing subscribers. Continued use after the effective date constitutes acceptance of new pricing.
5. Intellectual Property Rights
All intellectual property contained within or related to the Services — including but not limited to source code, application architecture, UI/UX designs, brand assets, trademarks, trade names, proprietary workflows, and all platform features — are the exclusive property of Diorta or its licensors and are protected under applicable intellectual property laws.
You are granted a limited, personal, non-exclusive, non-transferable, revocable license to use the Services solely for their intended purpose. You retain ownership of original content you upload; however, you grant Diorta a limited, worldwide license to process your content solely to deliver the requested Service output. This license is revoked upon account termination.
6. Service Availability & Modifications
⚠️ Diorta expressly does not guarantee 100% uptime, continuous availability, or error-free operation of any Service.
- Services are provided “as is” and “as available” without any warranty of any kind.
- We reserve the right to modify, suspend, restrict, or permanently discontinue any Service or feature, in whole or in part, at any time and without prior notice, for any reason including maintenance, security, legal compliance, or business decisions.
- Diorta shall not be liable for any loss, damages, or inconvenience arising from service interruptions, scheduled or unscheduled maintenance, degraded performance, or permanent discontinuation.
- Processing and rendering times for complex features may vary based on infrastructure load and queue depth.
7. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DIORTA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DIORTA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR THAT PLATFORM OUTPUTS WILL BE ACCURATE, APPROPRIATE, OR FREE FROM UNINTENDED, OFFENSIVE, OR INFRINGING CONTENT.
8. Limitation of Liability
This is a critical provision. Please read it carefully.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIORTA, ITS FOUNDERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages of any nature.
- Loss of profits, revenue, data, business opportunities, or goodwill.
- Damages arising from unauthorized access to or alteration of your data or transmissions.
- Damages arising from the use or inability to use any Service, even if Diorta has been advised of the possibility of such damages.
- Any outputs created using our platform that are inaccurate, inappropriate, or cause harm.
In no event shall Diorta's total cumulative liability to you for all claims arising from or relating to the Services exceed the greater of (a) the total amount you paid to Diorta in the ninety (90) days preceding the event giving rise to the claim, or (b) PKR 5,000 (Pakistani Rupees Five Thousand).
9. Indemnification
You agree to defend, indemnify, and hold harmless Diorta and its founders, directors, officers, employees, contractors, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with: (a) your use or misuse of the Services; (b) any content you submit, create, upload, or transmit through the Services; (c) your violation of these Terms or any applicable law or regulation; (d) your infringement of any third-party intellectual property, privacy, or other rights; or (e) any dispute between you and a third party. Diorta reserves the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
10. Force Majeure
Diorta shall not be liable for any delay, failure, or interruption of Services resulting directly or indirectly from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, floods, fires, earthquakes, epidemics or pandemics, wars, acts of terrorism, civil unrest, governmental actions or restrictions, power outages, internet or telecommunications failures, cyberattacks or distributed denial-of-service attacks, third-party infrastructure failures (including cloud hosting providers), or any other unforeseen event of a similar nature (“Force Majeure Event”). During a Force Majeure Event, our obligations under these Terms are suspended for the duration of the event. We will use commercially reasonable efforts to resume normal operations as quickly as practicable.
11. Dispute Resolution & Mediation
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to follow this resolution process before initiating formal legal proceedings:
- Step 1 — Direct Notice: The aggrieved party must first provide written notice to Diorta at Contact Us, describing the nature of the dispute, the relief sought, and supporting documentation. Diorta will respond within 15 business days.
- Step 2 — Good-Faith Negotiation: Both parties agree to attempt to resolve the dispute through good-faith negotiation for a period of no less than 30 calendar days following the initial notice.
- Step 3 — Mediation: If negotiation fails, both parties agree to submit the dispute to non-binding mediation before a mutually agreed-upon mediator in Pakistan, prior to initiating any legal proceedings.
- Step 4 — Litigation: Only after Steps 1–3 have been exhausted may either party initiate formal legal proceedings in the competent courts of Pakistan.
12. Termination
- You may terminate your account at any time via your account settings page.
- Diorta may immediately suspend or permanently terminate your access to all Services, without notice or liability, for any violation of these Terms or any conduct deemed harmful to Diorta, other users, or third parties.
- Upon termination (for any reason), your right to access the Services ceases immediately. Remaining credits, subscriptions, and any data associated with your account are subject to our data retention policy and may be permanently deleted.
- Provisions of these Terms that by their nature should survive termination shall survive, including Sections 5, 7, 8, 10, and 11.
13. Governing Law & Exclusive Jurisdiction
These Terms of Service shall be governed by and construed exclusively in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-law provisions. Subject to the dispute resolution process outlined in Section 11, any dispute that proceeds to litigation shall be subject to the exclusive jurisdiction of the competent courts of Pakistan. By using our Services, you irrevocably submit to the personal jurisdiction of the Pakistani courts for the resolution of any such disputes.
14. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable for any reason, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable, consistent with the original intent of the parties.
16. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy (incorporated herein by reference), constitute the entire agreement between you and Diorta with respect to your use of the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.
